Terms of Service

These terms govern use of the Dealer Arsenal platform (“the Service”). By creating an account or using the Service, the customer (“you”) agrees to them. If you are accepting on behalf of a company, you confirm you are authorised to bind that company.

1. The Service

We provide a multi-tenant software platform for aftermarket and wholesale brands, which may include dealer management, warranty administration, sales analytics, document generation and integrations with third-party services. Features available to you depend on your subscription plan and on which integrations you choose to enable.

2. Accounts and access

  • You are responsible for the accuracy of account information and for all activity under your accounts.
  • You must keep credentials confidential and notify us promptly of any suspected compromise.
  • You are responsible for the conduct of users you invite, including your staff and dealers.

3. Your data

You retain all rights to the data you submit. You grant us a limited licence to host, process and transmit it solely to provide the Service. We do not sell your data. Our handling of personal information is described in the Privacy Policy.

You are responsible for having the rights and permissions necessary for the data you submit, including any personal information about your dealers and customers.

4. Connected services

The Service can connect to third-party systems such as Shopify, NetSuite, Google Analytics, e-signature providers and payment processors. Those services are governed by their own terms, and we are not responsible for their availability, accuracy or actions. When you authorise a connection you confirm you are entitled to grant that access. Disconnecting a service stops further access.

5. Acceptable use

  • Do not use the Service unlawfully, or to store or transmit unlawful or infringing material.
  • Do not attempt to access another customer's data or to circumvent access controls.
  • Do not probe, scan or test the security of the Service without our written permission.
  • Do not resell or provide access to the Service outside your organisation unless your plan permits it.

6. Fees and billing

Subscription fees, billing frequency and any usage-based charges are set out in your plan. Fees are charged in advance and are non-refundable except where required by law. We may change pricing with reasonable notice, effective at your next renewal. Overdue accounts may be suspended after notice.

7. Documents generated by the Service

The Service can generate business documents, including dealer agreements and policies, from settings you provide. These are drafting aids and templates only. They are not legal advice, and we do not warrant that any generated document is suitable, complete or enforceable in your jurisdiction. You are responsible for having documents reviewed by qualified legal counsel before use, and you accept responsibility for the terms you publish or execute.

8. Availability and support

We aim to keep the Service available and to give advance notice of planned maintenance, but we do not guarantee uninterrupted operation unless a written service-level agreement says otherwise. Support is provided through the channels described in your plan.

9. Confidentiality

Each party may receive non-public information from the other. The receiving party will protect it with reasonable care, use it only to perform under these terms, and not disclose it except to personnel and providers who need it and are bound by comparable obligations.

10. Intellectual property

We retain all rights in the Service, including its software, design and documentation. These terms grant no rights in our intellectual property other than the right to use the Service. Feedback you provide may be used to improve the Service without obligation to you.

11. Suspension and termination

You may cancel at any time, effective at the end of the current billing period. We may suspend or terminate access for material breach, non-payment, or where continued use poses a security or legal risk, generally after notice and an opportunity to remedy. On termination we will make your data available for export for a reasonable period, after which it may be deleted.

12. Disclaimers

Except as expressly stated, the Service is provided “as is” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Service will be error-free, nor that analytics or imported data are accurate, since these depend on the third-party systems and files you connect.

13. Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data. Our aggregate liability arising out of or relating to these terms will not exceed the fees you paid in the twelve months before the event giving rise to the claim. Nothing here limits liability that cannot be limited by law.

14. Indemnity

You will defend and indemnify us against third-party claims arising from your data, your use of the Service in breach of these terms, or documents you generate and execute using the Service.

15. Changes to these terms

We may update these terms. Material changes will be notified to account administrators before they take effect, and continued use after that date constitutes acceptance.

16. General

These terms are governed by the laws of the State of Indiana, United States, without regard to conflict-of-laws rules. If a provision is held unenforceable, the rest remains in effect. Neither party may assign these terms without the other's consent, except in connection with a merger or sale of substantially all assets.
